Terms and Conditions of Use

1. Purpose and Scope

These terms supplement the General Terms and Conditions of Sale (GTCS) and apply to all fund and investment management services provided by GoldenHive, an LLP established in Sweden under registration number 969801-7556, acting on behalf of its clients.

2. Services Offered

GoldenHive provides its clients with the following services:

Discretionary portfolio management.
Investment advice.
Execution of orders on financial instruments.
Fiduciary services related to asset management.

3. Obligations of GoldenHive

3.1 GoldenHive undertakes to provide its services with diligence and professionalism, in accordance with industry best practices.
3.2 GoldenHive will implement and maintain appropriate internal control procedures, risk management, and personal data protection for its clients.
3.3 GoldenHive will regularly inform clients about the performance and composition of their portfolios.

4. Client Obligations

4.1 The client agrees to provide GoldenHive with all necessary information regarding their financial situation, investment objectives, and risk profile.
4.2 The client agrees to promptly notify GoldenHive of any significant changes in their personal or financial situation.
4.3 The client agrees to follow the instructions and recommendations of GoldenHive in managing their portfolio.

5. Remuneration of GoldenHive

5.1 GoldenHive will charge annual management fees as a percentage of the client’s portfolio value. These fees depend on the agreements and the nature and composition of the client’s investments.
5.2 Performance fees may also be charged, based on terms agreed upon with the client.
5.3 All fees will be directly deducted from the client's account.

6. Liability

6.1 GoldenHive can only be held liable for direct damages suffered by the client due to proven fault.
6.2 GoldenHive's liability shall not exceed the amount of fees collected during the 12 months preceding the damage.
6.3 GoldenHive shall not be held liable for losses due to adverse developments in financial markets.

7. Confidentiality

7.1 GoldenHive commits to maintaining the confidentiality of client information.
7.2 Information may, however, be disclosed to competent authorities if required by law.

8. Duration and Termination

8.1 Unless otherwise specified, contracts are concluded for an indefinite period or are automatically renewable.
8.2 Each party may terminate the contract at any time with three (3) months’ written notice.
8.3 In case of serious breach by one party, the other may terminate the contract with immediate effect.

9. Governing Law and Jurisdiction

9.1 This contract is governed by Swedish law.
9.2 Any dispute shall be submitted to the competent courts of Stockholm, Sweden.

10. Changes to the Terms

GoldenHive reserves the right to modify these terms. Users will be notified and must accept the new terms to continue using the services.

General Terms and Conditions of Sale

1. Purpose and Scope

These GTCS apply to all financial services and products offered by GoldenHive Kommanditbolag ("GoldenHive"), registered at ECIT Advisory AB, Grev Turegatan 14 3 1/2 fl., 114 46 STOCKHOLM, Sweden, under number 969801-7556, to its clients ("the Client"). They define the rights and obligations of both GoldenHive and its Clients.

2. Services and Products Offered

2.1 GoldenHive offers portfolio management and investment advisory services to companies with a minimum of €10,000 to invest. The services and products are described on GoldenHive’s website.
GoldenHive works with clients from all European countries, except the United Kingdom and countries subject to international sanctions.

3. Account Opening and KYC

3.1 Before entering any contractual relationship, the Client must provide all documents and information required for Know Your Customer (KYC) procedures and identity verification, in accordance with anti-money laundering and anti-terrorism financing regulations.
3.2 GoldenHive reserves the right to refuse account opening if the required information is not provided.

4. Client Obligations

The Client undertakes to:

Provide accurate and up-to-date information about their financial situation and investment goals
Notify GoldenHive of any changes to their situation.
Cooperate with GoldenHive in any investigation into suspicious activity
Follow all security procedures for accessing their account

5. GoldenHive’s Liability

5.1 GoldenHive shall act with the diligence expected of an investment professional. Its liability can only be engaged in cases of proven gross negligence.
5.2 GoldenHive cannot be held liable for losses resulting from investment decisions made by the Client.

6. Limitation of Liability

GoldenHive’s liability is limited to a maximum of €500,000 per claim and per calendar year.

7. Confidentiality and Data Protection

GoldenHive commits to maintaining the confidentiality of Client information, in accordance with applicable data protection regulations.

8. Entry into Force and Modification

These GTCS take effect upon publication on GoldenHive’s website. They may be modified at any time by GoldenHive, with prior notice to Clients.
